摘　　要：In this article,the author analyzes and expounds the conditions in negotiation of bills of lading,and the validity of real during the negotiation. Furthermore the author approves the proof function of the bill of lading in the course of the negotiation. The purpose of the article is to help strengthening the management of bills of lading in China’s shipping system.
